Maintaining client confidences and privileges when representing corporations in internal investigations and special committee engagements has always been challenging.

It has become even more complicated with the Department of Justice Yates Memorandum. This development has created potential conflicts between and among corporations and their directors and officers. The program will include a discussion of issues including protection of the attorney-client privilege, the availability of D&O insurance, advancement of costs, indemnification of individuals and related topics in the context of internal investigations and dealings with the government. It also will highlight the ethical and evidentiary challenges these situations present and provide guidance in this emerging area of the law.
