Corporate Litigation Update 2019

This always popular Corporate Litigation Update will review headline-making cases and trends that are shaping our capital and financial markets. With more than half of all public companies choosing Delaware as their state of incorporation, the panel will address recent decisions from Delaware’s Supreme Court and Court of Chancery addressing disputes involving mergers and acquisitions, corporate governance, and the duties of officers and directors. In addition, the panel will cover the rise of federal Securities Act class actions filed in state courts in the aftermath of the Supreme Court’s decision in Cyan, Inc. v. Beaver County Employees Retirement Fund, et al., 138 S. Ct. 1061 (2018), and particularly the marked increase in the number of these actions filed in Pennsylvania state courts over the past year.
