Overview

Introduction to Serving on a Nonprofit Board

Many attorneys have the opportunity to join a nonprofit board throughout their careers.  For anyone, this can be a very rewarding experience, bring opportunities to improve one’s skills, make valuable connections, and help a cause that is personally meaningful.  

This CLE will explore the role of a Board of Directors and the laws governing nonprofits. The program will provide training on the basics of nonprofit board service, including charitable issues raised under state and federal laws for current board members.

Some topics covered will include:

  • Proper due diligence: what questions to ask and documents to request before joining
  • Understanding your role as a board member 
  • Board member fiduciary duties 
  • Board member limited liability, D&O insurance, and indemnification

Basic Nonprofit Financial Information

  • Key elements to understanding nonprofit financial statements
  • Enterprise risk management at the Board of Directors level
  • Form 990 items to know how your nonprofit answered

Ethics of Serving on a Nonprofit Board

  • Serving as legal counsel and a director
  • Duties and limitations in the role of the attorney on a nonprofit board according to rules of professional conduct
  • Conflicts of interest 
  • Other ethical issues that may arise in the course of Board service

Noel Fleming Esq.

Mr. Fleming is a founding partner of Fleming Petenko Law in Philadelphia where he focuses his practice on serving the legal needs of nonprofit organizations primarily in the areas of corporate law and governance, charitable trusts, federal, state and local tax matters, fiduciary duties, charitable fundraising, and related matters. He regularly acts as outside general counsel to a variety of nonprofit organizations, including publicly supported charities, private foundations, mental health organizations, social service providers, museums, educational institutions, and health care facilities. In this capacity, he advises these organizations on all manner of issues affecting nonprofit organizations including corporate formation and qualification for tax-exempt status, federal tax law compliance, nonprofit mergers and acquisitions, strategic alliances, corporate governance matters, charitable contribution issues, and unrelated business income tax questions. Mr. Fleming is admitted to practice in Pennsylvania and is a member of the American and Pennsylvania bar associations. He is active in the Pennsylvania nonprofit community and is the Chair of the Pennsylvania Bar Association’s Charitable Organizations Committee. He has been a course planner and presenter for many Pennsylvania Bar Institute continuing legal education programs. He is an adjunct professor at Villanova University Charles Widger School of Law where he teaches the course, Public Charities: Law and Compliance. He writes and speaks frequently on legal matters related to the operation of nonprofit organizations and has been selected for inclusion in Pennsylvania Super Lawyers® in the field of nonprofit law. His articles have been published in the Temple Law Review, The Journal of Taxation, The Exempt Organizations Tax Review, and Taxation of Exempts. He is a graduate of Temple University Beasley School of Law (LL.M., Taxation), Temple University Fox School of Business and Management (M.B.A.), Temple University Beasley School of Law (J.D., cum laude), and Temple University Fox School of Business and Management (B.B.A., summa cum laude).

Kayci Petenko Esq.

Ms. Petenko is a founding partner of Fleming Petenko Law where she focuses her practice on advising a variety of tax-exempt organizations, including private foundations, public charities, and donor-advised funds. Immediately prior to forming Fleming Petenko Law, Ms. Petenko worked for another boutique law firm providing legal advice and services to nonprofit organizations. Additionally, she was a tax associate in the Tax Advisory Group of an accounting firm, where she provided clients with a wide range of tax consulting services and specialized in state and local taxation. Ms. Petenko also has significant law firm experience representing clients in corporate, financial, real estate, and litigation matters. She has advised clients on compliance issues, corporate governance matters, and contract negotiation. Ms. Petenko speaks frequently on legal matters related to the operation of nonprofit organizations and is an adjunct professor at Villanova University Charles Widger School of Law. In her free time, she enjoys traveling, baking, and volunteering at several nonprofits in her local community

Jeffery Dailey Esq.

Prior to co-founding the business litigation boutique Dailey LLP, Mr. Dailey was a partner at Akin Gump, where he worked for almost 20 years. He represents public and private companies, and their directors and officers, in business disputes, class actions, shareholder and derivative litigation, and accounting litigation. In addition, Mr. Dailey regularly represents non-profit entities, or their directors and officers, in judicial dissolution proceedings, intra-corporate disputes, internal investigations, and other litigation matters. Mr. Dailey received his B.A. in political science from Hobart College in 1997 and his J.D. in 2000 from the Syracuse University College of Law. Dailey LLP has offices in Pennsylvania, Delaware and New York.

Gina Ragone Esq.

Ms. Ragone is an associate at the Fleming Petenko Law.  Prior to joining Fleming Petenko Law she served as an associate in the Financial Institutions and Insurance Groups at Debevoise & Plimpton, LLP, where she provided legal services to clients undergoing mergers, acquisitions, and reinsurance transactions. Ms. Ragone received a J.D. summa cum laude from Rutgers University School of Law and served as the Associate Managing Editor of the Rutgers University Law Review. During law school, she also served as a judicial extern for the Honorable Luis Felipe Restrepo of the U.S. Court of Appeals for the Third Circuit, the Honorable Jerome B. Simandle of the U.S. District Court for the District of New Jersey, and the Honorable Richard S. Hoffman of the Superior Court of New Jersey, Appellate Division.

Lovepreet Buttar CPA, MBA, CGMA, PSA

As a Managing Director with Mercadien’s Nonprofit and Human Services Group, Lovepreet Buttar has extensive experience performing and overseeing audit engagements for various nonprofit organizations, including associations, schools, private foundations, and health and human services organizations. She is passionate about helping these organizations support their constituents and achieve their mission. She is also head of the firm’s Audit and Assurance practice and is responsible for both firm-wide and engagement-specific quality control matters and overseeing training for various for-profit, not-for-profit and government/public entities. In this role, she helps ensure the firm is using best practices that are compliant with Generally Accepted Accounting Principles (GAAP). Whether supervising her team of staff, or servicing her clients, , Lovepreet is known for being thorough, as well as calm and cool under pressure. Her soothing manner, collaborative nature and keen insights lend themselves to a favorite aspect of her job – educating nonprofit professionals to ensure they understand and are prepared to meet changes affecting their industry and organizations. Lovepreet is frequently asked to speak at conferences and events hosted by various organizations, such as the New Jersey Association of Community Providers, the Council of Nonprofits, the Center for Nonprofits of New Jersey, Princeton Mercer Regional Chamber of Commerce, and Princeton Community Works, to name few. She leads numerous internal and external training seminars and regularly writes articles for the firm’s newsletter, Nonprofit Outlook, on financial reporting, tax and compliance topics in which she is highly proficient. In addition to her client service role, Lovepreet is the Co-Chair of Mercadien’s Diversity, Equity and Inclusion (DE&I) Initiative, where she is responsible for helping to plan and execute the firm’s DE&I strategy. Driven by giving back, Lovepreet commits her time to serving on boards and committees for various organizations, including the Princeton Area Community Foundation, Thomas Edison State University Foundation Board and the Chamber of Commerce Southern New Jersey.
