Overview

This course will  include the latest updates in nonprofit law, including:

  • The Annual Nonprofit Law Update
  • A Review of the 2022 Amendments to Pennsylvania’s Nonprofit Corporation Law: Highlights and Implications

It will also provide a comprehensive review of International charities and considerations that arise when fundraising and operating outside of the United States. Domestic legal issues such as compliance with IRS  and Office of Foreign Assets Control regulations are also explored.  

For additional nonprofit information, check out Serving on a Nonprofit Board:  Basics and Ethical Responsibilities (March 6, 2023) , which explores the role of a Board of Directors and the laws governing nonprofits,  and provides training on the basics of nonprofit board service, including charitable issues raised under state and federal laws for current board members.

Faculty

Jeffrey Fromknecht Esq

Mr. Fromknecht is a lawyer and community organizer who has a passion for helping others. He holds graduate degrees in both social work and law and has over 20 years of experience working at nonprofit organizations in a variety of direct-service and administrative roles. Mr. Fromknecht is the co-founder of Side Project Inc. an organization dedicated to incubating sustainable projects focused on social change and the lead attorney for Lawyers for Nonprofits. Additionally, he is Of Counsel with Dentons, the world’s largest global law firm, in their Nonprofit Practice Group. Mr. Fromknecht is licensed to practice law in Pennsylvania, Florida, and before the United States Tax Court. His legal work focuses on the legal issues impacting tax-exempt organizations and their work, including corporate law governance issues, fundraising compliance, and tax issues. He is an active member of the Florida Bar Public Interest Law Section, serving as Chair of the Nonprofit Law Workgroup. He regularly speaks on nonprofit legal issues and has taught professional development courses for the University of Pittsburgh School of Social Work, Duquesne University School of Law, the Pennsylvania Bar Institute, The Florida Bar Public Interest Law Section, Nonprofit Issues®, Nonprofits First, the Forbes Funds and a variety of other partners in Florida and Pennsylvania.

Donald Kramer Esq.

Donald W. Kramer is chair of the Nonprofit Law Group at the Philadelphia law firm of Montgomery, McCracken, Walker & Rhoads, LLP. Mr. Kramer has more than 45 years of experience dealing with the concerns of nonprofit organizations, not only as a lawyer, but also as a teacher, writer, publisher, and board member. Mr. Kramer is editor and publisher of Don Kramer’s Nonprofit Issues®, a national online newsletter and website of “Nonprofit Law You Need to Know” (www.nonprofitissues.com.), which he started at Montgomery, McCracken in 1989. He writes and lectures frequently on nonprofit legal issues, and currently teaches a course on nonprofit organization law at the School of Social Policy and Practice at the University of Pennsylvania. He has previously taught a similar course at the University of Pennsylvania Law School and Eastern University. He has worked with nonprofit organizations of all types and sizes, helping structure start-up situations and restructure multi-organizational social service, health and educational systems. He counsels on a wide range of corporate, governance, tax, real estate, charitable giving and other nonprofit issues. Mr. Kramer currently serves on the Board of the Philadelphia Fire Department Historical Corporation. He was the founding attorney of the Pennsylvania Association of Nonprofit Organizations and served on its Board for more than 30 years. A graduate of Princeton University, he received his law degree from Harvard Law School.

Andrea Gosfield Esq.

Ms. Gosfield focuses
on corporate law, commercial real estate, public finance, employment law, and
regulatory compliance in PA, NJ, and NY. Her clients are in the
sectors of real estate development, manufacturing, construction and project
management, accounting, health care, hospitality, media and communications,
telecommunications, education, and government. She counsels
individuals, private companies, and non-profit organizations. As a business
attorney who has worked in-house for the federal government, Ms. Gosfield
provides clients with invaluable knowledge and perspective. As a
former attorney for the United States government, she enforced federal labor
laws on behalf of United States Department of Labor, Office of the
Solicitor. As Assistant Regional Counsel for the Social Security
Administration, she managed regulatory compliance and litigation matters in
the areas of privacy, civil rights, employment, disability, and
bankruptcy. She prevailed on behalf of the federal government in
appellate litigation in the Fourth and Sixth Circuits. As a
full-time personnel adviser, Ms. Gosfield counseled federal agency executives
and managers on proposed disciplinary actions and reasonable accommodation
requests, as well as Freedom of Information Act issues. She also
successfully defended the federal government in several Title VII
discrimination cases. Prior to working for the federal government, Ms.
Gosfield served for two years as a judicial law clerk to the Honorable Chief
Judge Petrese B. Tucker of the United States District Court for the Eastern
District of Pennsylvania. She began her legal career as a Corporate Associate
at Blank Rome LLP, an Am Law 100 firm with headquarters in Philadelphia.
There, she performed complex transactional and regulatory work, which
included servicing a private company in a multi-state healthcare acquisition
and counseling corporate boards of directors on fiduciary duties. Before she
became an attorney, Ms. Gosfield worked as a business technology consultant
for consumer product companies, universities, and financial institutions in
New York and California. She has also worked as a professional
artist, dancer, and choreographer.

Morgen Cheshire Esq.

Morgen is dedicated to serving the legal needs of nonprofit organizations and revolutionizing how nonprofits access legal supports.  She is the managing editor of PAnonprofitlaw.com, a legal resource library for Pennsylvania’s nonprofits and the professionals who serve them. Morgen is also the founder and managing attorney of the Cheshire Law Group, which was launched in July 2011 to bring legal counsel within reach for nonprofit organizations, and in her daily practice, she serves as general counsel for nonprofits, providing access to sophisticated legal resources and helping them to manage their legal issues affordably. With a team of seven attorneys, Cheshire Law Group is now ranked among the largest women-owned businesses in Philadelphia by the Philadelphia Business Journal.  Morgen also currently serves on the Public Policy Committee for the Pennsylvania Association of Nonprofit Organizations (PANO) and is a member of the Pennsylvania Department of State Corporation Bureau Advisory Committee. Morgen earned her bachelor’s degree from Grinnell College, and her law degree from Temple University School of Law, cum laude, and spent her third year of law school at Columbia School of Law studying art law. Ms. Cheshire is admitted to practice law in Pennsylvania and New York.

Pamela Shin Esq.

Pamela Shin is a partner in the Tax group at Dentons. Pamela specializes in charity and non-profit law. She partners with impact focused organizations to enable their missions and co-create transformative social outcomes. Pamela’s experience both as counsel to and senior leader of the world’s largest charities, provides her with a rich and integrated legal, business and cultural perspective. Rebecca Davis

In founding and serving as the Executive Director of MindLeaps, Rebecca is responsible for the strategic direction, fundraising and management of an organization currently operational in six countries and with headquarters in New York City. Prior to MindLeaps, Rebecca worked for The Carter Center, Stage Holding Russia, and Lincoln Center for the Performing Arts. She ran a professional dance company and a pre-professional training program in Philadelphia for five years known as RDDC: Rebecca Davis Dance Company. Rebecca graduated summa cum laude with a Bachelor of Business Administration in Entrepreneurship from Temple University, and she holds a Masters in International Relations with a concentration in Peacekeeping from American Military University. She received a post-graduate certificate in Ballet and Choreography Studies during her Fulbright year in Russia. Most recently, Rebecca presented at The World Bank’s Human Development Week, delivered the Fulbright Alumni Association’s Selma Cohen Lecture in Washington, DC and chaired the Arts  Resiliency Panel Rwanda with panelists Reggie Van Lee, LaMar Baylor and Royce Zackery.
