Timothy A. Hoy, Esq.
Mr. Hoy is an attorney and shareholder with Mette Evans & Woodside in Harrisburg and has taught Payment Systems as an adjunct professor at Widener University School of Law and at The Pennsylvania State University Dickinson School of Law. He practices in the areas of business organization and banking. As a member of the Title 15 drafting committee, he is actively involved in the Business Law Section of the PA Bar Association. Prior to his current position, Mr. Hoy spent five years as in-house counsel with Keystone Financial, Inc. where he was responsible for litigation and banking and regulatory work. He is also a former clerk for United States District Court Judge Sylvia H. Rambo.
Curtis L. Golkow, Esq.
Mr. Golkow is the founding member of Golkow Business Law LLC, a boutique law firm devoted to business, securities and finance law. For more than 35 years, his practice has concentrated heavily on mergers and acquisitions, joint ventures and strategic alliances, capital-raising and other financing transactions, employment and compensation arrangements, and a wide array of other business and commercial matters. Mr. Golkow regularly counsels clients in the development and implementation of strategic plans, including business plans for start-up and expansion stage companies and succession plans for family businesses. He devotes a substantial portion of his practice to handling business divorces, often involving complex issues of corporate governance. He is a member of the American Bar Association and Philadelphia Bar Association, where he served on the Executive Committee of the Business Law Section and is a former Chair of its Mergers & Acquisitions Committee. Mr. Golkow is a frequent speaker and lecturer on business law topics. Michael D. Ecker, Esq.
Mr. Ecker is a Member of the Business Division of the Philadelphia office of Eckert Seamans Cherin & Mellott, LLC. He negotiates and documents business relationships, including emerging growth & technology, financial institutions and health law. Mr. Ecker represents entrepreneurs, publicly and privately held emerging businesses, corporations, partnerships and joint ventures in diverse industries in a variety of corporate and transactional matters, including mergers and acquisitions, public and private finance and corporate governance. His transactional healthcare and e-Commerce practice includes negotiation and preparation of software licenses, as well as joint venture, employment/severance and equity ownership agreements. A frequent lecturer, Mr. Ecker speaks to professional organizations on subjects including legal and corporate developments in healthcare law, e-commerce, mergers and acquisitions and corporate governance. He is a member of the Philadelphia (Business Law Section), Pennsylvania (Business Law Section) and American (Business and Health Law Section) Bar Associations. Paul T. Rushton, Esq.
Paul T. Rushton, Esq. is a partner with the law firm of Rosenn, Jenkins & Greenwald, LLP and is the Chair of its Business & Finance Department. Paul practices exclusively in the areas of corporate law and mergers and acquisitions and frequently advises clients on governance issues and preparing for the sale of their business. Catherine E. Walters, Esq.
Ms. Walters is a partner at Bybel Rutledge LLP in Lemoyne and chairs the Firm’s Employment and Labor Law Group. She provides exclusive management-side representation and compliance services for employers, including privately and publicly held companies, government contractors, institutions of higher education, health care providers, trade associations and other non-profit organizations. Her practice spans an array of industries, including financial and banking, manufacturing, defense contracting, education, health care, professional services, insurance, construction, technology, retail, real estate, transportation, restaurant and hospitality. Ms. Walters’ extensive experience and collaborative skills enable her to partner with her clients to develop creative, practical, business-oriented solutions for their legal challenges. Sean-Tamba Matthew, Esq.
Sean-Tamba Matthew is a shareholder of the law firm Stevens & Lee and also works with its affiliated business, SES ESOP Strategies. He advises companies, business owners, boards of directors and employee stock ownership plan (ESOP) trustees on transactional, corporate governance and formation matters related to the design and implementation of ESOPs. Sean is a frequent guest speaker on a range of ESOP-related issues. He is also an Adjunct Professor at Temple University’s Beasley School of Law. In addition, Sean is a member of the leadership council for the Business Law Section of the Pennsylvania Bar Association, an advisory board member of Talley Management Group, an employee-owned company, and a member of the executive committee of The ESOP Association’s Public Policy Council. In addition to his professional work, Sean serves as a member of the Board of Directors of Independence Mission Schools, a network of 15 independent Catholic schools providing a transformative education to children of all faiths across Philadelphia, and Nutritional Development Services of the Archdiocese of Philadelphia, an organization dedicated to alleviating food insecurity in Southeastern Pennsylvania. Amy G. McAndrew, Esq.
Amy McAndrew is MidAtlantic Employers’ Association’s Director of Legal and Compliance Services. Amy is a highly skilled labor and employment law attorney who worked for 18 years at the Philadelphia-based law firm Pepper Hamilton LLP (now Troutman Pepper), a general practice firm with offices throughout the United States. She also spent a year with Littler Mendelson P.C., an international labor and employment law firm. Amy graduated from Rutgers College with a double major in English and Communication, where she received highest honors in Communication and was a member of Phi Beta Kappa. Amy went on to graduate cum laude from Boston College Law School. As Director of Legal and Compliance Services at MEA, Amy provides legal advice and compliance services to the Association’s Members, in addition to providing Members with updates on developments in employment law. Jay A. Dubow, Esq.
Mr. Dubow is a partner with Troutman Pepper Locke LLP, resident in the Philadelphia office. He is a member of the firm’s White Collar Litigation and Investigations Practice Group and co-chair of its Securities Investigations + Enforcement Practice Group. Mr. Dubow focuses his practice on complex business litigation, with a special emphasis on defending against derivative and securities class action litigation and representing clients involved in investigations by the U.S. Securities and Exchange Commission, the Pennsylvania Department of Banking and Securities and various self-regulatory organizations, including stock exchanges and the Financial Industry Regulatory Authority, Inc. He also conducts internal investigations on behalf of clients. He previously served as senior vice president, general counsel and chief administrative officer of Advanta Corp. He began his career as a staff attorney and then branch chief in the Division of Enforcement of the U.S. Securities and Exchange Commission in Washington, D.C. Active in local and national bar associations, Mr. Dubow is a leader in the American Bar Associations Business Law Section and currently serves as vice chair of its Business and Corporate Litigation Committee. Imogene L. Cathey, Esq.
Imogene L. Cathey has 23 years of experience in the legal profession, primarily representing and advising institutions of higher education. She currently serves as the inaugural Vice President and General Counsel for Seton Hill University. In that role she oversees the General Counsel Department which consists of the Office of General Counsel, Human Resources and Payroll Office, and the Title IX Compliance Office. She came to Seton Hill in 2015 following related professional experience in the Office of the General Counsel at the University of North Carolina at Greensboro and the University of Florida. Her legal practice focuses on university policy and governance issues, diversity initiatives, athletics and regulatory compliance, contracts, and employment law. Prior to specializing in higher education law, she was in private practice with regional and national law firms in Florida where she represented employers in complex employment and business-related litigation matters. Ms. Cathey holds a B.A., summa cum laude, from Florida A & M University and a J.D., with honors, from the University of Florida Levin College of Law. She is licensed to practice law in Florida, the District of Columbia, North Carolina, and Pennsylvania.
Beverly Weiss Manne, Esq.
Ms. Manne is a shareholder in the Business and Restructuring Department of Tucker Arensberg, P.C. in Pittsburgh. Ms. Manne is admitted to practice in Pennsylvania and Maryland. Her practice includes creditors’ rights, commercial loan originations, restructuring and liquidations, receiverships, complex bankruptcies and reorganizations, and commercial lending/leasing workouts. She also is an adjunct professor at the University of Pittsburgh School of Law where she teaches Bankruptcy and Commercial Paper and Banking (Payment Systems). Ms. Manne is a fellow of the American College of Bankruptcy, a member of the ABA, PBA and Allegheny County Bar Association, International Women’s Insolvency and Restructuring Confederation, Commercial Law League (“CLLA”), American Bankruptcy Institute, and a past Chair of the ACBA Bankruptcy and Commercial Law Section. With respect to the PBA, Ms. Manne is a past Chair of the PBA Business Law Section, on the Council for the Section, co-chair of the Insolvency Law Modernization Task Force and the UCC Chapter 12 Adoption Task Force, and a formerly BLS’ representative in PBA’s House of Delegates. Ms. Manne was a member of the PBA Avoidable Transfer Rev. 2/5/2019 Act Adoption Task Force, the PBA Insolvency Law Task Force (1994-1996), and the UCC Article 9 Revisions Task Forces which were responsible for the adoption of Revised Article 9 in Pennsylvania in 2001 and the revisions in 2011. Ms. Manne was a co-chair of the PBA Shale Energy Committee (now the Energy Committee). Ms. Manne is a member of the CLLA Education and Bankruptcy Executive Committee. She served on the Western District Bankruptcy Court Chapter 11 Subchapter V Small Business procedures committees as well as the Complex Chapter 11 Procedures committee.. She was the initial president of the Judith K. Fitzgerald Western Pennsylvania Bankruptcy American Inn of Court, was on the Inn’s executive committee and is currently a Barrister in that Inn. Ms. Manne is also a member, an ex-officio officer and board member of the Turnaround Management Association and TMA International. Ms. Manne has authored various publications and blog articles and lectures frequently on commercial law issues including bankruptcy, banking, mechanics liens, energy and Uniform Commercial Code issues. Ms. Manne received her B.A. from the University of Pittsburgh, Magna Cum Laude, Phi Beta Kappa, and her law degree from University of Pittsburgh School of Law. She is a Pennsylvania Super Lawyer in Bankruptcy & Creditor/Debtor Rights Category for 2006 through the present, and; has been selected by her peers for inclusion in The Best Lawyers in America® 2007 through the present in the Bankruptcy and Creditor-Debtor Rights Law category.
Eric L. Brossman, Esq.
Mr. Brossman is a partner of Bybel Rutledge LLP in Lemoyne, where his practice concentrates in the areas of corporate, business, business reorganization and counseling, commercial finance, UCC Article 8 and Article 9 secured transactions and mergers and acquisitions. Nicole M. Danner, Esq.
Nicole M. Danner advises and counsels U.S., international, and non-profit businesses of diverse industries in a range of matters encountered in day-to-day operations. Ms. Danner takes a uniquely practical, business-focused approach because she understands her clients are looking for solutions, not roadblocks. In the data privacy and security space, she helps clients navigate the rapidly evolving data privacy legal landscape and mitigate their risks by developing data security and privacy policies, internal procedures, breach and incident response plans, and the like. Ms. Danner is a Certified Information Privacy Professional for the United States (CIPP/US) as certified by the International Association of Privacy Professionals. Before joining Wisler Pearlstine, Ms. Danner served as in-house counsel for a global market leader in electrical engineering, electronics and automation. In this role, she provided legal services in such areas as contract drafting and negotiation, data privacy, domestic and international regulatory compliance, risk management, and intellectual property. Liz R. Triscari, Esq.
Elizabeth Rose Triscari (she/her/hers) is Senior Director, Corporate Counsel for American Water, the largest U.S. publicly traded water and wastewater utility company. The company, based in Camden, New Jersey, employs more than 7,000 dedicated professionals who provide water, wastewater and other related services to more than 15 million people in 46 states. Ms. Triscari represents American Water in various regulatory proceedings, as well as in connection with acquisitions and litigation in state and federal courts. Ms. Triscari serves on the Executive Council of the PBA Commission on Women in the Profession and as Vice Chair of the PBA In-House Counsel Committee. She is a past member of PBI’s Board of Directors and past Chair of the PBA Public Utility Law Section. Ms. Triscari received her B.A. in Government from Cornell University and J.D. from Boston College Law School. Prior to joining American Water, Ms. Triscari served as Pennsylvania’s Deputy Small Business Advocate representing small business interests before the Pennsylvania Public Utility Commission.
Christopher E. Ezold, Esq.
Christopher E. Ezold acts as outside general counsel for his business clients, and advises on corporate matters, finance (startup through private equity), equity and asset purchases, mergers and acquisitions, taxation of transactions, corporate and investor rights, technology issues, contracts, operational matters, employment issues, intellectual property rights, and licensing and regulatory compliance. Mr. Ezold works with his professional and executive clients throughout their careers, advising on career strategies, employment contracts, equity rights, taxation of deferred compensation and equity, noncompetition and nonsolicitation agreements, business and career exits, and disputes. He focuses on advising physicians and health care providers on employment, licensure, credentialing, regulatory compliance, responses to internal and government investigations, and practice purchases and sales. David R. Cohen, Esq.
David is the chair of Reed Smith’s Records & E-Discovery (RED) Group and a member of the Emerging Technologies group. A Harvard Law graduate with more than 35 years of commercial litigation experience, David serves as e-discovery counsel and information governance counsel to some of the top companies in the world. He also represents clients in complex litigation matters, and counsels companies of all sizes on information governance and litigation readiness issues. David has been recognized individually by Chambers Global, Chambers USA, Super Lawyers, Best Lawyers, and Who’s Who Legal as a top e-discovery lawyer and litigator. He has also received a Law 2.0 “Outstanding Leadership” award in 2022 and the Legal Intelligencer Pennsylvania “Innovator of the Year” award in 2023. In addition to individual recognition, the 70+ lawyer RED Group that he leads has been recognized by Chambers and Legal 500 as a leading e-discovery practice. David currently chairs the EDRM Project Trustees and serves on the advisory board of the Georgetown Advanced eDiscovery Institute. He was involved in setting up the E-Discovery Special Masters (EDSM) program in the U.S. District Court for the Western District of Pennsylvania, has served as an EDSM in multiple cases, and has drafted and supported amendments to state and federal rules focusing on e-discovery. David has also authored numerous legal publications and is a frequent presenter at continuing legal education seminars regarding e-discovery, information governance, and artificial intelligence, including generative AI. He is the principal architect of the E-Discovery App, launched in 2020, and leads ongoing App development and innovation initiatives.
Erica H. Dressler, Esq.
Erica is an experienced litigator concentrating her practice on complex breach of contract litigation, securities litigation, corporate governance disputes, antitrust, franchise disputes, and international and domestic arbitration. Erica has substantial experience taking and defending depositions of both fact and expert witnesses. She also has significant trial experience. In 2017, she third chaired an antitrust bench trial in federal court in Chicago, and in 2022, she first chaired a jury trial involving a Section 1983 claim in federal court in New Jersey. Erica is active in pro bono matters, including assisting refugees and asylum-seekers in obtaining permanent legal residence and representing prisoners in civil rights litigation. Erica completed an internship for Judge Faith Angell of the U.S. District Court for the Eastern District of Pennsylvania during law school.
Dean H. Dusinberre, Esq.
Dean is Co-Chair of Stevens & Lee’s Financial Institutions Group. He is a recognized and trusted advisor to financial institutions, their boards of directors and senior management teams. Marcin M. Krieger, Esq.
Marcin is a counsel in Reed Smith’s Records & E-Discovery team and a founding member of the group, having joined the firm in 2011 as an e-discovery attorney. He brings a unique skill set to Reed Smith, with over 15 years of experience in e-discovery law, a background in computer science, and a Relativity Certified Administrator credential. Marcin leverages his deep technical understanding and years of experience with technology assisted review to advise case teams and clients on the most efficient and defensible approaches to large-scale document reviews. He also collaborates with case teams to develop creative solutions to complex large document review challenges and provides user training and support for various e-discovery software platforms. In addition, Marcin plays an active role in beta testing and proof-of-concept evaluation of new technology, including artificial intelligence tools, for potential adoption by the firm.
