Overview

All business relationships eventually end, but business partners often fail to plan adequately for the inevitable separation. When entering into a business owner relationship, the business partners would be well-advised to obtain counsel from a business lawyer on both managing the business relationship and planning for a future separation. But even with good initial counseling, the business partner will require the services of a transactional lawyer and/or commercial litigator at the time of the business divorce.

Learn how to advise clients who are entering into business owner relationships or seeking to separate from their business partners.

The presentation also will discuss ethical issues for the lawyer representing one or more business owners or the company in entering into the business relationship or the business divorce.

Faculty

Daniel Bernheim III, Esq.

Mr. Bernheim is a member of the law firm Wilentz Goldman & Soitzer, P.A. and serves as the managing partner of the firm’s Philadelphia office. His practice is devoted to commercial litigation representing a variety of business enterprises, professionals and real estate developers. In addition, Mr. Bernheim’s practice has a significant emphasis upon creditors’ rights representing most local and national banking institutions doing business in the Pennsylvania. Mr. Bernheim has been trial counsel in a number of published opinions concerning consumer protection laws and frequently serves as an expert witness in professional liability matters. Mr. Bernheim regularly and lectures on issues of Pennsylvania commercial litigation practice and Federal and State legislation which controls lending activities. Mr. Bernheim graduated from the University of Pennsylvania and earned his law degree from Villanova University School of Law and was a member of the first LL.M. degree class in Trail Advocacy from Temple University School of Law.

J. Mark Penny FASA, BV/IA, ARM/BV

Mr. Penny is Managing Director of Hempstead & Co., LLC Cherry Hill office and holds the designation of senior member in the American Society of Appraisers (ASA), prepares valuation analyses of privately held firms for numerous purposes including recapitalizations, equitable distributions, estate planning, employee stock ownership plans, mergers and acquisitions, fairness opinions, purchase price allocation and calculation of economic damages. Mr. Penny is also experienced in estimating the value and useful life of intangible assets including goodwill, customer lists, franchises, trademarks, tradenames and professional degrees. Mr. Penny has prepared valuations for a wide range of businesses including manufacturing companies, communications firms, various professional practices, small businesses and agricultural enterprises. Mr. Penny has been qualified as an expert witness and testified in New Jersey, New York, Pennsylvania, Delaware and Florida. He has lectured on the topic of business valuation on behalf of the National Center for Employee Ownership and before estate planning groups. 

Curtis Golkow Esq.

Mr. Golkow is the founding member of Golkow Business Law LLC, a boutique law firm devoted to business, securities and finance law. For more than 35 years, his practice has concentrated heavily on mergers and acquisitions, joint ventures and strategic alliances, capital-raising and other financing transactions, employment and compensation arrangements, and a wide array of other business and commercial matters. Mr. Golkow regularly counsels clients in the development and implementation of strategic plans, including business plans for start-up and expansion stage companies and succession plans for family businesses. He devotes a substantial portion of his practice to handling business divorces, often involving complex issues of corporate governance. He is a member of the American Bar Association and Philadelphia Bar Association, where he served on the Executive Committee of the Business Law Section and is a former Chair of its Mergers & Acquisitions Committee. Mr. Golkow is a frequent speaker and lecturer on business law topics. He received his J.D. in 1988 from the University of Pennsylvania Law School, where he was a Senior Editor of the Journal of International Business Law, and received his B.S. in Economics, cum laude, in 1985 from the Wharton School of Business, University of Pennsylvania.
