Overview
This program is designed to equip attorneys with practical knowledge and strategic insight to better serve small business clients at every stage of growth. The program begins with an in-depth session on intellectual property, where participants will learn the essential elements of identifying, protecting, and leveraging a client’s key assets—from branding and marketing materials to proprietary processes and client relationships. Following a brief transition, the program shifts to the critical area of mergers and acquisitions, offering step-by-step guidance on advising small business clients through complex transactions, including deal structuring, due diligence, negotiation, and post-closing considerations. The final session focuses on designing and delivering exceptional client experiences, emphasizing systems and strategies that law firms can implement to build stronger relationships, improve client satisfaction, and enhance overall practice success. Together, these sessions provide a comprehensive, practical framework for attorneys committed to effectively counselling small businesses in today’s dynamic legal and commercial landscape.
Faculty
Christine Jarzab Kuntz, Esq.
Always one to color outside of the lines, Christine’s legal career has been non-traditional, with a 7-year stint as in-house counsel for a healthcare facility followed by 11 years and counting as a virtual attorney. She seeks variety and is always ready to “geek out” on any legal topic that piques her interest, thus she calls herself a niched generalist. For nearly two decades, Christine has honed her expertise in the areas of nonprofit, contract, and intellectual property law. She thrives on the solving the random legal issues that arise in the daily course of business. In her spare time, you will find her volunteering as a Girl Scout Leader, creating art, and practicing traditional and American-style yoga. As to education, Christine earned a B.S. in Biology, a Juris Doctor, and a Master of Public Health from the University of Pittsburgh. She was lucky to be mentored by, and a co-author with, the late Nathan Hershey, Esq., a noted pioneer in health law.
Bernard A. Williams, Esq.
Bernard A. Williams stands out as a highly accomplished and versatile attorney, entrepreneur, and business leader with over two decades of expertise in representing business owners. Specializing in Fractional General Counsel Services, Business Transactions, and Business Disputes, Bernard is dedicated to providing comprehensive legal guidance in areas such as Business Agreements, Contract Negotiations, Contract Disputes, Business Divorce, Debt Collection, Business Start-Up Law, and Small Business Law. Recognizing the challenges faced by small business owners, Bernard founded Company Counsel LLC, where he focuses on empowering businesses in Pennsylvania, New York, and New Jersey. Leading a dynamic team of attorneys, he is committed to helping entrepreneurs overcome obstacles, make informed decisions, and foster companies that make a positive impact on the world. Bernard’s extensive experience extends to public speaking engagements on various legal and business topics, including Starting and Scaling a Business, Building Teams, Forming Strategic Partnerships, Negotiating Contracts, and Resolving Business Disputes. As an adjunct college professor, he has shared his knowledge with undergraduate students, teaching courses in Negotiations and Business Law. Beyond his legal practice, Bernard has been an integral part of community-based initiatives. He served as a faculty member for Power Up Your Business, a program offering free training to small business owners in Philadelphia. He has played a pivotal role as a mentor and investor in the Young Entrepreneurs Academy (YEA!) Philadelphia, a year-long after-school academic program fostering middle and high school students’ entrepreneurial skills through hands-on, experiential education. Additionally, Bernard contributed as the president of the board for The Business Center, a 501(c)(3) organization providing educational programs to entrepreneurs in Northwest Philadelphia’s minority business ecosystem. His commitment to community also led him to serve on the board of Christian Legal Clinics of Philadelphia, an urban legal ministry delivering vital legal services to neighborhoods in need. Bernard’s outstanding achievements have garnered recognition throughout his career, including being named a Pennsylvania SuperLawyer in Business Law, earning a spot among Main Line Today’s Top Lawyers for Business Law, and twice being recognized in The National Black Lawyers Top 100. Furthermore, under his leadership Company Counsel has received the prestigious Philly100 award four times, acknowledging it as one of the fastest-growing, privately held companies in the Philadelphia area. Before founding Company Counsel, Bernard served as a Partner at Legis Group LLC in Philadelphia, leading the Litigation team and counseling small to mid-sized companies in various aspects of business and employment law. His legal journey includes roles at globally renowned firms such as Cravath Swaine & Moore, Dickstein Shapiro, and Drinker Biddle & Reath, representing Fortune 100 companies like AT&T, Colgate-Palmolive, General Motors, Johnson & Johnson, and Pfizer. Bernard earned his law degree from New York University School of Law, where he served as an editor on the NYU Law Review.
M. Zane Johnson, Esq.
Zane is the Founder and Managing Attorney of MZA Legal, a Black-owned virtual law firm that helps self-funded entrepreneurs set a solid foundation for the future growth of their business. Zane’s long-term vision is to build a firm that extends access to justice and empowers everyday people to do extraordinary things. Zane received his undergraduate degree from Muhlenberg College, and his J.D. from Temple University. Prior to launching his own firm, Zane served as the Managing Attorney at Philadelphia Lawyers for Social Equity, shepherding the organization into a period of stable growth. He has presented on topics related to innovation and access to justice individually and as a panelist for the American Bar Association, Pennsylvania Bar Association, and the Philadelphia Bar Association among others. Zane is also a presenter for Law Practice CLE and Lawline.
