Overview

A panel of ESG practitioners will address and discuss the following topics:

  • ESG 101 – a brief primer for those new to ESG; what is ESG and does it matter; who are the relevant stakeholders; and how does ESG impact both public and private companies.
  • ESG legal requirements in the United States – a deep dive into the SEC’s new climate disclosure rule [or the proposed rule if the final rule is not approved by 10/24]; a review of other SEC legal requirements related to ESG; and a discussion of how ESG developments in the European Union can impact U.S. companies.
  • ESG in practical terms – how do companies address ESG risks; how to respond to requests for ESG data; how to determine what data to disclose; how data is collected and reported; and what are companies doing to address gaps in their ESG programs/readiness profile.
  • ESG litigation landscape – a discussion of recent cases from across the country that highlight the risks of making ESG-related disclosures and lessons learned.

All attendees will receive the course materials as a digital book.

Faculty

David Colvin Esq.

An experienced commercial litigator, David focuses his practice on a full range of business disputes, including breach of contract, civil RICO, unfair business practices, unclaimed property audit defense, misappropriation of trade secrets and intellectual property matters. David is also involved in the representation of clients in the area of legal ethics and professional responsibility and is Co-Chair of the firm’s Environmental, Social & Governance (ESG) Practice Group. David spent two years as a member of the Villanova University School of Law Moot Court Board and was a semi-finalist in the 2003 National Tax Moot Court competition. As an undergraduate David spent a semester studying international politics at the Institute of European Studies in Madrid.

Karen Davis Esq.

Karen H. Davis is Partner at Fox Rothschild and Co-Chair of the firm’s Environmental, Social and Governance Practice Group. She advises clients on emerging environmental, health and safety issues, as well as ESG issues that arise in corporate and real estate transactions. Karen guides clients to develop and implement compliance programs, including social responsibility programs. She has extensive experience in due diligence related to anti-corruption, environmental, international trade, privacy and supply chain. Karen is well-versed in negotiating deal documents to mitigate compliance risks and developing and implementing integration plans. She previously served as in-house counsel for a major chemical company, where she was responsible for the compliance program and code of conduct training. While in-house counsel for a subsidiary of an international energy company, she advised on compliance issues and management of environmental liabilities. Karen is a graduate of Cornell University and the University of Pennsylvania Law School. She is ranked by Chambers USA as a leading environmental lawyer in Pennsylvania.

R. Waring CPA, CISA

Charles Waring is the leader of the firm’s Environmental, Social and Governance Services (“ESG”) practice and a Partner in the Assurance and Technology Control Services practice within the Audit Group. He has extensive experience as an audit professional specializing in internal controls, IT risk management, regulatory compliance, and Third-Party Assurance / SOC reports. Charles provides ESG reporting services including SEC readiness, Greenhouse Gas (GHG) Emissions reporting, and Carbon Accounting. He focuses on compliance and controls within organizations across multiple industries and sizes, and has experience relating to supporting external audits, delivering internal audits, assessing compliance functions, and performing risk assessments of consumer protection financial laws. He also has experience delivering regulatory compliance internal audits in accordance with CFPB exam requirements for financial services companies.
