Designed specifically for associates, new attorneys, and attorneys who do not practice business law (experienced business lawyers will benefit, too!), this program offers a streamlined overview of key concepts necessary to establish a strong foundation in this practice area.

Faculty
Lisa R. Jacobs, Esq.
Ms. Jacobs is a partner in the Philadelphia office of Stradley Ronon Stevens Young LLP. She represents clients in domestic and international transactional matters including complex corporate finance, mergers and acquisitions, institutional and private equity financing, private placements and structuring and governance issues with a particular emphasis on the food and beverage and healthcare industries. Ms. Jacobs is a Commissioner of the Uniform Law Commission (ULC), currently serving as it’s President, as well as on several drafting committees, including the Amendments to Uniform Unincorporated Organizations Acts (Chair of the drafting committee currently updating those Acts), the Limited Liability Company Protected Series Act, the Employee and Student Online Privacy Protection Act, and the Canadian Money Judgments Registration Act (Chair). She is a member, and current Chair, of the ULC-ABA Joint Editorial Board for Uniform Unincorporated Organization Acts. She also chaired the ULC’s Diversity and Inclusion Committee. Ms. Jacobs has been a member of the American Law Institute since 2009 and is active in both the American Bar Association and the Pennsylvania Bar Association, currently serving as Chair of the ABA’s Uniform Law Committee. She also is Chair of Pennsylvania’s Title 15 Drafting Committee, which recently facilitated Pennsylvania’s adoption of Act 122 (a robust update to the Pennsylvania Business Corporation Law), which was signed into law on November 3, 2022. Ms. Jacobs is also a member and current Chair of the Advisory Committee for the Pennsylvania Department of State Corporations Bureau (by appointment of the Secretary of the Commonwealth). In 2019, she was also elected to membership in the American College of Commercial Finance Lawyers and, in 2020, as a founding member of the American College of LLC and Partnership Attorneys. She also was a member of the Pennsylvania Bar Association Task Force on the Uniform Unincorporated Association Acts and the Uniform Fraudulent Transfer Act, working to adopt the ULC Acts for enactment in Pennsylvania. Those Acts became effective in 2017 and 1993, respectively. Her civic involvement includes her service as a member of the Greater Philadelphia YMCA (serving as Vice Chair), the seventh largest YMCA operator in the country. She is committed to pro bono work, representing The Museum of Contemporary Art – Chicago, the Museum of the American Revolution (Philadelphia), and Liberty Fire Engine Company No. 1 of Spring City, Pennsylvania. Ms. Jacobs has written a number of articles and is a frequent lecturer on business organizations, corporate finance, transaction structuring and related business issues. She currently is a Lecturer in the Law at the University of Pennsylvania Law School, where she teaches a course on International Business Negotiations. Ms. Jacobs received a Bachelor of Science Degree in Economics, cum laude, from the Wharton School, University of Pennsylvania and graduated with honors from the Villanova University School of Law, where she was a member of the editorial board of the Villanova Law Review.
Beverly Weiss Manne, Esq.
Ms. Manne is a shareholder in the Business and Restructuring Department of Tucker Arensberg, P.C. in Pittsburgh. Ms. Manne is admitted to practice in Pennsylvania and Maryland. Her practice includes creditors’ rights, commercial loan originations, restructuring and liquidations, receiverships, complex bankruptcies and reorganizations, and commercial lending/leasing workouts. She also is an adjunct professor at the University of Pittsburgh School of Law where she teaches Bankruptcy and Commercial Paper and Banking (Payment Systems). Ms. Manne is a fellow of the American College of Bankruptcy, a member of the ABA, PBA and Allegheny County Bar Association, International Women’s Insolvency and Restructuring Confederation, Commercial Law League (“CLLA”), American Bankruptcy Institute, and a past Chair of the ACBA Bankruptcy and Commercial Law Section. With respect to the PBA, Ms. Manne is a past Chair of the PBA Business Law Section, on the Council for the Section, co-chair of the Insolvency Law Modernization Task Force and the UCC Chapter 12 Adoption Task Force, and a formerly BLS’ representative in PBA’s House of Delegates. Ms. Manne was a member of the PBA Avoidable Transfer Rev. 2/5/2019 Act Adoption Task Force, the PBA Insolvency Law Task Force (1994-1996), and the UCC Article 9 Revisions Task Forces which were responsible for the adoption of Revised Article 9 in Pennsylvania in 2001 and the revisions in 2011. Ms. Manne was a co-chair of the PBA Shale Energy Committee (now the Energy Committee). Ms. Manne is a member of the CLLA Education and Bankruptcy Executive Committee. She served on the Western District Bankruptcy Court Chapter 11 Subchapter V Small Business procedures committees as well as the Complex Chapter 11 Procedures committee.. She was the initial president of the Judith K. Fitzgerald Western Pennsylvania Bankruptcy American Inn of Court, was on the Inn’s executive committee and is currently a Barrister in that Inn. Ms. Manne is also a member, an ex-officio officer and board member of the Turnaround Management Association and TMA International. Ms. Manne has authored various publications and blog articles and lectures frequently on commercial law issues including bankruptcy, banking, mechanics liens, energy and Uniform Commercial Code issues. Ms. Manne received her B.A. from the University of Pittsburgh, Magna Cum Laude, Phi Beta Kappa, and her law degree from University of Pittsburgh School of Law. She is a Pennsylvania Super Lawyer in Bankruptcy & Creditor/Debtor Rights Category for 2006 through the present, and; has been selected by her peers for inclusion in The Best Lawyers in America® 2007 through the present in the Bankruptcy and Creditor-Debtor Rights Law category.
Victoria Bechtold Kush, Esq.
Ms. Kush is an accomplished civil litigator and trial attorney, resolving disputes and driving successful outcomes for business entities, ranging from start-ups to Fortune 500 companies. She has 17 years of experience litigating disputes for energy companies, universities, commercial resorts, healthcare institutions, robotics developers, engineering firms, manufacturers, consumer products companies, non-profits and municipalities with broad experience in both state and federal courts, including appellate courts. In particular, she holds significant experience in eminent domain matters, oil and gas litigation and construction litigation. In her eminent domain practice, she has represented both condemnors and condemnees, with extensive expertise relating to rights of way for natural gas pipelines, natural gas storage easements, roadways, sewer easements and other property takings. In the oil and gas industry, she is versed in litigating disputes over lease agreements and rights, property access and use, and environmental contamination claims. She also carries a strong record of success in construction litigation, winning multi-million dollar verdicts in litigation involving construction contract disputes and construction defect litigation. Her professional achievements have been recognized by both the legal and business communities. The Pittsburgh Business Times named Ms. Kush one of the 2018 Women of Influence, and NEXT Pittsburgh featured her as one of the “16 Pittsburghers You Should Know.” She was also recognized as the 2016 Woman of Distinction in Government & Law by Girl Scouts Western Pennsylvania. In addition, she received a 2016 Pennsylvania Senate Citation, awarded by Senator Scott E. Hutchinson of the 21st Senatorial District, recognizing her dedication, excellence and leadership in the legal profession, as well as her impact on the community. She has consistently been named as one of the Pennsylvania Super Lawyers® Rising Stars over the last 5 years (2019 through 2023), and she was named to the Best Lawyers in America in the field of Commercial Litigation. She frequently appears as a legal expert on WPXI’s Pittsburgh Cable News Channel (PCNC), providing commentary on legal cases in the news. She is also an Adjunct Professor at Duquesne University teaching “The Legal Environment” and “Applied Business Ethics” to graduate business students. She has served on the Board of Girl Scouts Western Pennsylvania, Catholic Charities Diocese of Pittsburgh, the Johnstown Symphony Orchestra and the Mendelssohn Choir of Pittsburgh. Perry S. Patterson, Esq.
Mr. Patterson is a shareholder with Buchanan Ingersoll & Rooney PC in Pittsburgh. He is a member of the firm’s corporate section and co-chair of the firm’s Mergers and Acquisition practice group. His practice focuses on mergers and acquisitions, venture capital-backed startups, and emerging companies and corporate finance, as well as general business and legal counseling. He counsels clients in a variety of industries including insurance, media, technology, life sciences, retail, medical device, aerospace and defense, specialty metals, manufacturing, eyewear, and health care. Mr. Patterson graduated from the University of Maryland and received his J.D. from the University of Maryland School of Law. He is a member of American Bar Association’s Business Law Section Mergers and Acquisitions Committee, and its Subcommittees on Private Equity M&A and M&A Jurisprudence, Task Force on Legal Project Management, and the Committee on Legal Opinions. He is a past chair of the Business Law Section of the Pennsylvania Bar Association, currently the BLS’ representative to the Working Group on Legal Opinions and has served on the Title 15/Business Associations Committee since 2015.
Richard J. Parks, Esq.
Richard J. Parks is a partner in the Business/Corporate, Bankruptcy/Creditors’ Rights and Litigation Practice Groups of Pietragallo Gordon Alfano Bosick & Raspanti, LLP. Mr. Parks includes in his practice: creditors’ rights, corporate asset structure and acquisition. Mr. Parks has significant experience in the credit work-out area, including out of court credit restructurings, intercreditor agreements, litigation in bankruptcy related to preference, alleged tortious interference claims as well as representing parties in the acquisition of assets in bankruptcy sales including assets involved in the home health care service industry. Mr. Parks has twice been selected as a BTI Client Service All-Star, a designation awarded by The BTI Consulting Group after surveying corporate counsel at Fortune 1000 companies to identify lawyers who provide truly superior client service. Mr. Parks was recognized in Best Lawyers in America for his practice in both Bankruptcy and Creditor/Debtor Rights, Insolvency, Business Reorganizations and Real Estate Litigation. He has served as a lecturer and instructor for banking and lending trade associations. Kevin E. Raphael, Esq.
A partner at Fox Rothschild LLP, Kevin is a seasoned trial attorney with more than 25 years of experience spanning multiple areas of practice, including: white-collar criminal defense and government investigations; False Claims Act defense; health care and complex commercial litigation, including class actions; Title IX investigations and litigation; and institutional responses to sexual misconduct. He has taken hundreds of bench and jury trials to verdict, and has represented clients in appellate courts in Pennsylvania, New Jersey, Delaware and the Third Circuit Court of Appeals. Kevin focuses on resolving legal disputes in creative ways that enable businesses and individuals to achieve their strategic goals. Kevin counsels and represents businesses, entities and individuals in several industries, including health care, higher education, and food and beverage. He has litigated a broad range of business disputes and defended clients in major white-collar criminal and regulatory investigations involving allegations of fraud, false claims, public corruption and sexual abuse. Kevin joined Fox Rothschild as a partner from a regional law firm. Before that, he practiced as an Assistant District Attorney for the Philadelphia Office of the District Attorney, where he was primarily responsible for investigating and prosecuting sexual assaults on minors and young adults. He has served as an adjunct professor of Health Law for Widener University Delaware Law School and Thomas Jefferson University College of Population Health. Kevin served for three terms as a Senior Hearing Committee Member for the Disciplinary Board of the Supreme Court of Pennsylvania. He is actively involved in Habitat for Humanity building projects in the Philadelphia area and serves on the Board of Northwest Victim Services, a nonprofit that provides counseling and advocacy services to crime victims. Kevin is ranked by Chambers and Partners for Litigation: White Collar Crime and Government Investigations. He repeatedly has been selected as a Pennsylvania Super Lawyer (Health Care). Mr. Raphael is also recognized by Best Lawyers in America for his practice in Health Care Law.
