Overview
Financing plays a critical role in shaping how M&A transactions are structured, negotiated, and ultimately completed. This program will explore a variety of financing aspects that arise in acquisition transactions, with a focus on the key issues facing attorneys representing buyers/borrowers and the lenders who fund these deals.
Faculty will examine acquisition diligence from both perspectives, including the information lenders require, the borrower’s objectives, and how issues such as existing liens and collateral are evaluated and addressed. The course will also explore how deal structure influences financing decisions and how practitioners determine the most effective structure for a particular transactions.
Through practical hypotheticals, presenters will walk through example deals from both the lender and buyer perspectives, highlighting where interests align, where they may diverge, and how attorneys can navigate those issues. Attendees will gain a clearer understanding of how financing considerations influence deal structure, diligence, and negotiation throughout the life of an acquisition.

Christopher S. Yaracs, Esq.
Chris focuses his practice on debt and equity financings, mergers and acquisitions, business counseling and transactions. He regularly represents private equity funds, private lenders and privately owned companies in transactional and general business matters.
Kara M. Eshenaur, Esq.
Kara represents clients in commercial finance transactions. She counsels financial institutions, commercial lenders and borrowers in secured loan transactions, including asset-based financings, real estate development financings and acquisition financings. Kara teaches a class on secured transactions at the Widener Commonwealth Law School. Prior to attending law school, Kara served for six years as a generator mechanic in the Pennsylvania Army National Guard and spent time overseas in support of Operation Enduring Freedom.
