Overview

In-House Counsel are expected to do more than review contracts - they must identify risk, protect the organization’s interests, and negotiate terms that address an increasingly complex legal and business landscape. This practical program will explore key contracting issues that In-House attorneys encounter every day, from government contracts and common drafting pitfalls to the emerging challenges presented by artificial intelligence and data privacy.

This program will examine:

  • Important considerations when navigating government contracts, including unique compliance obligations, risk allocation, and provisions that can create unexpected exposure.
  • The most common mistakes legal professionals make when drafting, reviewing, or negotiating contracts, while also examining how those mistakes are later scrutinized and exploited in breach of contract litigation. Attendees will learn strategies for identifying and avoiding these mistakes before they become costly problems.
  • The differences between enterprise-grade and consumer-facing AI agreements, how AI terms differ from traditional SaaS agreements, and critical issues surrounding the use of organizational data. Faculty will examine key contractual questions, including whether data may be used to train AI models, as well as privacy, confidentiality, and other terms that can significantly affect an organization’s risk.
