Overview

Nonprofits are facing unprecedent challenges and upheaval in the legal environment affecting their operations today. This program provides a comprehensive update on the most recent legal and public policy developments impacting nonprofit entities today, including changes at the federal level and in Pennsylvania. Attendees will gain practical insights into how these updates affect nonprofit operations and learn strategies to help nonprofit organizations maintain compliance while advancing their missions. This session will equip you with tools you need to meet nonprofits’ most pressing needs in this moment and stay abreast of the latest developments in this dynamic area of law.

This program will be divided into two sessions. The first session will deal primarily with federal law issues. The second session will deal primarily with issues of state law and governance.

Faculty

Diane Stoeberl, Esq.

Diane (“DJ”) Stoeberl combines decades of lawyering with a passion for service to help nonprofit organizations achieve their goals and thrive. A skilled communicator and problem-solver, DJ provides valuable guidance to the organizations she serves and enjoys supporting their daily legal matters and compliance needs. With a master’s degree in tax law and an estate planning background, DJ deeply understands donor perspective and, in her capacity at Cheshire Law Group, she advises on planned giving matters in addition to many other types of tax matters.

Donald W. Kramer, Esq.

Donald W. Kramer is chair of the Nonprofit Law Group at the Philadelphia law firm of Montgomery, McCracken, Walker & Rhoads, LLP. Mr. Kramer has more than 45 years of experience dealing with the concerns of nonprofit organizations, not only as a lawyer, but also as a teacher, writer, publisher, and board member. Mr. Kramer is editor and publisher of Don Kramer’s Nonprofit Issues®, a national online newsletter and website of “Nonprofit Law You Need to Know” (www.nonprofitissues.com.), which he started at Montgomery, McCracken in 1989. He writes and lectures frequently on nonprofit legal issues, and currently teaches a course on nonprofit organization law at the School of Social Policy and Practice at the University of Pennsylvania. He has previously taught a similar course at the University of Pennsylvania Law School and Eastern University. He has worked with nonprofit organizations of all types and sizes, helping structure start-up situations and restructure multi-organizational social service, health and educational systems. He counsels on a wide range of corporate, governance, tax, real estate, charitable giving and other nonprofit issues. Mr. Kramer currently serves on the Board of the Philadelphia Fire Department Historical Corporation. He was the founding attorney of the Pennsylvania Association of Nonprofit Organizations and served on its Board for more than 30 years. A graduate of Princeton University, he received his law degree from Harvard Law School.

Morgen C. Cheshiren Esq.

Morgen was named the 2024 Outstanding Nonprofit Lawyer of the Year by the American Bar Association and is a systemic thinker, dedicated to serving the legal needs of nonprofit organizations and revolutionizing how nonprofits access legal supports. She is the founder and managing attorney of the Cheshire Law Group, which was awarded the Pennsylvania Bar Association’s Solo and Small Firm Section Award in 2024. Cheshire Law Group was launched in July 2011 to bring legal counsel within reach for nonprofit organizations, and in her daily practice, she exclusively serves as outside general counsel for nonprofits, helping them to manage their day-to-day and strategic legal needs effectively and affordably. Morgen is also the founder and managing editor of PAnonprofitlaw.com, a digital legal library launched in 2023 that offers resources that help make sense of legal complexities and accelerate and elevate the work of Pennsylvania’s nonprofit organizations and the professionals who serve them. PAnonprofitlaw.com includes tools that range from ready-to-use templates to informative guides to an annotated version of Pennsylvania’s Nonprofit Corporation Law (a 4th edition is coming in 2025!). Morgen also currently serves on the Public Policy Committee for the Pennsylvania Association of Nonprofit Organizations (PANO) and is a member of the Pennsylvania Department of State Corporation Bureau Advisory Committee. Morgen earned her bachelor’s degree from Grinnell College, and her law degree from Temple University School of Law, cum laude, and spent her third year of law school at Columbia School of Law studying art law.
