Overview

Choosing the best state for your client’s business needs can depend on several factors, including the complexity of the business, the economic climate of the state, and tax benefits. This program examines the advantages and disadvantages of incorporation in Pennsylvania, New Jersey and Delaware. For the novice and more experienced alike, this course provides and reinforces a solid foundation to help you best advise your client.

Faculty

Alisa E. Moen, Esq.

Ms. Moen is the founder and managing partner of Moen Law LLC. With legal and business experience spanning over two decades, she is a former AmLaw 100 partner and General Counsel for a multinational company. During her tenure at Blank Rome she co-chaired the firm’s Corporate Litigation Group and represented clients in all aspects of Delaware corporate governance matters before the Delaware Court of Chancery as well as federal courts. As General Counsel, Ms. Moen spearheaded the formation of the legal department and successfully integrated compliance, finance and business development functions to better manage company’s growth and expansion into new markets. With full P&L responsibilities for a business unit, Ms. Moen combined her legal expertise and business acumen to drive growth and successfully navigate regulatory and compliance risks. In 2020, Ms. Moen founded Moen Law LLC to address the need for outside general counsel expertise with a multi-disciplinary approach. The backbone of her practice remains corporate governance and regulatory compliance with a focus on start-up advisory practice. Ms. Moen regularly counsels clients on business formation and divorce, as well as M&A activities. Ms. Moen earned by B.A. from the University of Delaware and her law degree from Temple University Beasley School of Law. She served as the Editor-in-Chief for the Delaware Law Review for over 6 years and is active in the Delaware Bar and in her community. Ms. Moen is fluent in Russian. 

Brian M. Gottesman, Esq.

Brian M. Gottesman is a partner in the Delaware office of Gabell Beaver LLC. He has extensive experience counseling corporations and closely-held alternative entities (including limited liability companies, Delaware statutory trusts, and limited partnerships) on issues relating to their governance and management. Brian has served as counsel in acquisitions, business formations, the establishment of subsidiaries and holding companies and sales of assets and equitable interests. He also provides opinions on Delaware law relating to limited liability companies, business trusts and other Delaware entities involved in real estate acquisitions, structured finance deals, business mergers and other transactions. In addition to his transaction work, Brian has extensive experience with litigation in Delaware courts, particularly in the Court of Chancery. Brian has represented clients in breach of contract, breach of fiduciary duty and business divorce actions, as well as a wide array of other corporate and commercial litigation matters. He is certified as a court-appointed mediator by the Delaware Superior Court and is a member of the Panel of Distinguished Neutrals of the International Institute for Conflict Prevention and Resolution. Brian has served as both counsel and as third-party neutral in a wide array of arbitration and mediation matters. He also serves as an expert witness in litigation involving Delaware business organizations. Brian graduated from Harvard Law School in 2003. From 2003 to 2010, he was a member of the Business Law and Venture Capital practice groups at the law firm of Connolly Bove Lodge & Hutz LLP. From 2010 until 2021, Brian was a partner at the law firm of Berger Harris LLP, where he worked with clients ranging from multinational conglomerates to single-member startups on a wide range of litigation and transactional matters. Brian has written numerous articles dealing with limited liability companies and Delaware statutory trusts, as well as the history of trade and trade law. He was the general editor and co-author of the Delaware Statutory Trusts Manual (Matthew Bender, 2010), and a co-author and co-editor of Litigating the Business Divorce (BNA, 2016).

Curtis L. Golkow, Esq.

Mr. Golkow is the founding member of Golkow Business Law LLC, a boutique law firm devoted to business, securities and finance law. For more than 35 years, his practice has concentrated heavily on mergers and acquisitions, joint ventures and strategic alliances, capital-raising and other financing transactions, employment and compensation arrangements, and a wide array of other business and commercial matters. Mr. Golkow regularly counsels clients in the development and implementation of strategic plans, including business plans for start-up and expansion stage companies and succession plans for family businesses. He devotes a substantial portion of his practice to handling business divorces, often involving complex issues of corporate governance. He is a member of the American Bar Association and Philadelphia Bar Association, where he served on the Executive Committee of the Business Law Section and is a former Chair of its Mergers & Acquisitions Committee. Mr. Golkow is a frequent speaker and lecturer on business law topics. He received his J.D. in 1988 from the University of Pennsylvania Law School, where he was a Senior Editor of the Journal of International Business Law, and received his B.S. in Economics, cum laude, in 1985 from the Wharton School of Business, University of Pennsylvania.
