Overview

The panel will discuss recent corporate law developments from the Delaware Court of Chancery and Supreme Court and will provide federal securities law updates and address trends in federal securities litigation practice.

Faculty

Laura Hughes McNally, Esq.

Ms. McNally is a partner at Morgan, Lewis & Bockius, LLP. Her practice focuses on defending clients in class and individual actions brought under federal and state securities law, challenges to mergers and acquisitions, derivative suits, and appraisals. She also represents clients in investigations by the US Securities and Exchange Commission (SEC). Ms. McNally has successfully argued motions to dismiss federal securities fraud class actions, examined expert witnesses in multiple trials, and has led the trials of appraisal actions in Delaware Chancery Court. In addition to her law degree, Ms. McNally has a Masters in economics with a specialization in law and finance, and has taught undergraduate economics at Temple University. She uses her economics background to analyze damages and causation issues, and she works closely with economic experts in her cases.

Peter H. Kyle, Esq.

Peter H. Kyle is an associate with DLA Piper and practices primarily on corporate litigation in Delaware’s Court of Chancery and complex commercial litigation in the Federal District Court for the District of Delaware. Peter’s work encompasses stockholder derivative actions, corporate valuation disputes, M&A litigation, books and records proceedings, arbitrations and internal investigations. Peter has litigated multiple matters through trial, including appraisal actions, contests for corporate control, and expedited proceedings pursuant to the Delaware General Corporation Law. He also regularly counsels corporations and their boards of directors with respect to contemplated transactions and corporate governance best practices. Prior to joining DLA Piper, Peter worked at a prominent corporate litigation boutique in Delaware. He is a graduate of College of William and Mary School of Law, J.D., cum laude; College of William and Mary, M.P.P.; and Washington and Lee University, B.A., magna cum laude. He is admitted to practice in Delaware and before the United States District Court for the District of Delaware. Mr. Kyleis a member of the Richard S. Rodney Inn of Court and is a volunteer Guardian Ad Litem through the Office of the Child Advocate.

Kelly Freund, Esq.

Kelly L. Freund’s practice is primarily focused on corporate litigation in Delaware’s Court of Chancery and the Delaware Supreme Court and complex commercial litigation in the Federal District Court for the District of Delaware. Kelly’s work encompasses stockholder derivative actions, corporate valuation disputes, M&A litigation, contractual disputes, books and records proceedings, corporate governance disputes, internal investigations, and other commercial disputes. Kelly has litigated multiple matters through trial.

Brian F. Morris, Esq.

Brian Morris focuses his practice on business disputes and complex commercial litigation, including disputes involving breach of contract, fraud, corporate governance and control, stockholder derivative actions, fiduciary duties, appraisals, and claims arising from mergers and acquisitions.
